TRUEYACHT PTY LTD — END USER LICENSE AGREEMENT

This End User License Agreement ("Agreement") is between TrueYacht Pty Ltd ("TrueYacht," "we," "us") and the client ("you") engaging TrueYacht for financial management, reporting, and oversight services.
1. Scope of Access You authorize TrueYacht to access your QuickBooks Online account for the purpose of performing monthly financial management services, including but not limited to transaction categorization, account reconciliation, and financial close processes, as well as extracting financial data to produce independent financial reports, analysis, and dashboards on your behalf. The scope of access is consistent with the services outlined in your engagement letter with TrueYacht.
2. Data Use Financial data accessed from your QuickBooks Online account is used exclusively to deliver the services outlined in your engagement with TrueYacht. We do not sell, share, or disclose your financial data to any third party except as required by law or with your explicit written consent.
2a. Monthly Financial Services As part of your engagement, TrueYacht may create, edit, categorize, or reconcile financial records within your QuickBooks Online account. All work performed is documented and conducted in accordance with the agreed scope of services. TrueYacht does not make any financial decisions on your behalf without your knowledge and approval.
3. Data Security TrueYacht implements reasonable technical and organizational measures to protect your financial data from unauthorized access, disclosure, or loss. You are responsible for maintaining the security of your own QuickBooks Online credentials.
4. Client Responsibilities You are responsible for ensuring that the data held in your QuickBooks Online account is accurate and complete. TrueYacht's reports and analysis are only as reliable as the underlying data provided.
5. Revocation of Access You may revoke TrueYacht's access to your QuickBooks Online account at any time through your Intuit account settings. Revocation does not affect any outstanding obligations under your engagement agreement with TrueYacht.
6. Limitation of Liability TrueYacht's liability in connection with access to your QuickBooks Online data is limited to the fees paid for the relevant engagement period. TrueYacht is not liable for decisions made by you or third parties based on financial reports produced from your data.
7. Governing Law To the extent that clients are based in the United States, TrueYacht acknowledges applicable US federal and state laws and will handle all client data in accordance with those requirements. Any disputes arising under this Agreement shall be subject to the jurisdiction agreed upon in your individual engagement letter with TrueYacht.
8. Changes to This Agreement TrueYacht may update this Agreement from time to time. Continued use of TrueYacht's services following notice of changes constitutes acceptance of the updated terms.
